MARBL Marketplace Terms & Conditions

These Terms & Conditions ("Terms") form a legally binding agreement between you (the "Clinic") and MYNT Ltd ("we," "us," or "MARBL").

By accepting these Terms, you agree to be bound by them and to comply with the conditions set out below. These Terms govern your participation in the MARBL Marketplace and your business relationship with MARBL.

1. Overview of Services

1.1 MARBL operates a digital platform (the "Marketplace") that connects consumers with vetted clinics offering medical aesthetics services.

1.2 When you join the MARBL Marketplace, your clinic will be featured on the platform and eligible to receive client referrals and bookings through MARBL's technology.

1.3 MARBL currently integrates with the Pabau booking system to facilitate referrals and track performance. However, MARBL may integrate with additional booking systems in future. The method of tracking and verification may change accordingly.

2. Client Referrals and Commission

2.1 MARBL will refer new clients to your clinic via the Marketplace. In return, you agree to pay MARBL a 30% commission plus VAT on the value of the booking made through MARBL. This applies to both consultations and treatments.

2.2 The commission is calculated only on the value of the service(s) selected and booked via the MARBL platform. If the client purchases additional services, treatments, or products during or after their visit, no commission is due on those additional sales.

2.3 A net new client is defined as a client who, at the time of booking, has no previous appointment history with your clinic in the integrated booking system.

2.4 No commission is charged for any future or repeat bookings made by that same client.

3. Billing and Payment Collection

3.1 Before your clinic is published on the MARBL Marketplace, you will be required to provide valid billing details through our third-party payment processor (e.g. Stripe).

3.2 MARBL will automatically charge your payment method on file at the end of each calendar month for any commission owed on completed, eligible bookings.

3.3 Commission is only charged for bookings that:

• Were made through the MARBL Marketplace,
• Were verified as net new clients, and
• Were marked as completed (i.e. not cancelled or no-show) in your booking system.

3.4 If a payment fails, you remain responsible for settling the outstanding amount. The payment will be due within 14 days. MARBL reserves the right to suspend or remove your clinic from the Marketplace if payment is not received.

4. Cancellations, No-Shows, and Disputes

4.1 You will not be charged commission on any bookings that are:

• Cancelled by the client,
• Cancelled by the clinic, or
• Marked as no-show in your booking system.

4.2 If you believe a commission charge was applied in error, you must raise the issue with MARBL in writing within 7 days of receiving the invoice. MARBL will investigate in good faith using available booking data.

5. Clinic Responsibilities

By participating in the MARBL Marketplace, you agree to:

5.1 Ensure your clinic profile, pricing, services, availability, and practitioner credentials are accurate and up to date;

5.2 Honour all appointments booked via MARBL unless cancellation is required for legitimate reasons;

5.3 Deliver treatments and services in compliance with all applicable professional standards, laws, and regulations;

5.4 Be solely responsible and liable for all services and outcomes provided to clients referred through the MARBL platform.

6. Treatment Recommendations and Medical Liability

6.1 MARBL may provide general treatment suggestions or information (e.g. through quizzes or automated tools) to help clients make booking decisions. These do not constitute medical advice or a clinical assessment.

6.2 All responsibility for determining treatment suitability, obtaining informed consent, and providing care lies solely with your clinic and licensed practitioners.

6.3 MARBL is not liable for the outcomes of any treatments, client dissatisfaction, or disputes arising from services provided by your clinic.

7. Use of Client and Clinic Data

7.1 MARBL may use data from customers who book through the MARBL Marketplace — including booking history and treatment interest — for analytics and marketing purposes (e.g. trends, promotions, or client communications). All such use will comply with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR).

7.2 MARBL may also use your clinic name, logo, images, and service information to promote your listing on the Marketplace and across MARBL marketing channels.

7.3 You confirm that any materials shared with MARBL (e.g. clinic images, bios, pricing) are accurate and free of third-party rights violations.

8. Marketing Content and Rights

8.1 As part of your participation in the MARBL Marketplace, you acknowledge that MARBL may create marketing content featuring your clinic to promote your services and drive customer demand. This may include, but is not limited to: photography, video, audio recordings (e.g. podcasts), interviews, quotes, and social media content.

8.2 All such content is created and produced by or on behalf of MARBL and remains the sole property of MARBL.

8.3 You grant MARBL an irrevocable, worldwide, royalty-free, perpetual license to use, reproduce, edit, modify, adapt, publish, and distribute this content across any media, including but not limited to: organic and paid social media, MARBL's website, email marketing, PR, and third-party advertising platforms.

8.4 You waive any rights to review, approve, or restrict how MARBL edits or uses the content. You confirm that any individuals from your clinic who appear in the content (e.g. staff or practitioners) have provided appropriate consent for their name, image, and voice to be used as described above.

8.5 MARBL may choose to share finished content with your clinic. You may use such content for your own organic marketing purposes (e.g. posting on your website or social media), provided that you do not modify, edit, crop, or repurpose it without MARBL's prior written consent.

8.6 Any use of the content by your clinic must follow the usage guidelines provided by MARBL. Raw footage and working files will not be shared.

8.7 You may not use MARBL-produced content to promote your clinic on competing marketplaces or platforms without prior written consent. Any use of the content must not imply endorsement by MARBL of activities or services outside the scope of your participation in the MARBL Marketplace.

9. Termination

9.1 Either party may terminate this agreement at any time by giving 30 days' written notice.

9.2 MARBL may suspend or immediately remove your clinic from the Marketplace if:

• You breach these Terms,
• You fail to pay a due commission,
• You provide inaccurate or misleading information,
• Or your conduct (online or offline) could harm MARBL's reputation or client trust.

10. General Terms

10.1 MARBL may update these Terms from time to time. We will notify you of material changes. Continued participation in the Marketplace following any updates constitutes your acceptance of the revised Terms.

10.2 These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

By accepting these Terms, you confirm that you have read, understood, and agreed to be bound by them.
